Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website at https://thepixeltheory.com (the “Site”) and the Pixel Lens Analytics reporting platform (the “Platform”) provided by Pixel Theory Inc. (“Pixel Theory,” “we,” “us,” or “our”). By accessing the Site or using the Platform, you (“you” or “Client”) agree to these Terms. If you do not agree, do not use the Site or the Platform.

1. Services

Pixel Theory provides digital marketing services and operates the Platform, which connects to third-party advertising and commerce systems that you authorize (such as Google Ads, Google Analytics, Meta Ads, and Shopify) and presents consolidated, read-only reporting and analytics. The Platform is a reporting tool; it does not create, edit, or manage advertising campaigns on your behalf through connected advertising APIs unless separately agreed in writing.

2. Eligibility and Accounts

You must be at least 18 years old and authorized to act on behalf of the business you represent. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

3. Authorization to Access Connected Accounts

By connecting a third-party account (or by authorizing us to connect one on your behalf), you represent and warrant that you have the right and authority to grant access to that account and the data within it. You authorize Pixel Theory to access and retrieve data from those accounts solely to provide the reporting and analytics described in these Terms and in our agreement with you. You may revoke this authorization at any time, after which we will cease retrieving new data from the affected account.

4. Acceptable Use

You agree not to:

  • Use the Site or Platform in violation of any applicable law or regulation, or in violation of the terms of any connected third-party service (including the Google Ads API Terms and Google’s policies);
  • Access or attempt to access data, accounts, or systems that you are not authorized to access;
  • Reverse engineer, decompile, interfere with, or disrupt the integrity or performance of the Platform;
  • Resell, sublicense, or provide access to the Platform to third parties except as expressly permitted; or
  • Upload or transmit malicious code or use the Platform to infringe the rights of others.

5. Data Ownership and Use

As between you and Pixel Theory, you retain all rights to your business and marketing data accessed through the Platform. You grant Pixel Theory a limited license to process that data solely to provide the services. Our collection, use, storage, and protection of data are described in our Privacy Policy, which is incorporated into these Terms by reference. We handle data received from Google APIs in accordance with the Google API Services User Data Policy, including its Limited Use requirements.

6. Third-Party Services

The Platform integrates with third-party services that are governed by their own terms and policies. We are not responsible for the availability, accuracy, or practices of those third-party services, and your use of them is subject to their respective terms.

7. Fees

Fees for our services, if any, are set out in a separate written agreement, proposal, or order. Unless otherwise stated, fees are non-refundable.

8. Confidentiality

Each party agrees to protect the other party’s confidential information and to use it only as necessary to perform under these Terms or a related agreement.

9. Intellectual Property

The Site, the Platform, and all related software, content, and trademarks are owned by Pixel Theory or its licensors and are protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Platform other than the limited right to use it as described.

10. Disclaimers

THE SITE AND THE PLATFORM ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that reporting data will be uninterrupted, error-free, or perfectly accurate, as it depends on data provided by third-party platforms.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIXEL THEORY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR PLATFORM. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Pixel Theory from any claims, damages, liabilities, and expenses arising out of your breach of these Terms, your misuse of the Platform, or your violation of any third-party rights or applicable law.

13. Termination

Either party may terminate use of the Platform in accordance with the parties’ written agreement, or, absent such an agreement, at any time. Upon termination, your right to access the Platform ceases, and we will handle your data in accordance with our Privacy Policy.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any disputes will be resolved in the state or federal courts located in Sussex County, Delaware, and you consent to their jurisdiction.

15. Changes to These Terms

We may modify these Terms from time to time. We will post the updated version on this page and update the “Last updated” date. Your continued use of the Site or Platform after changes take effect constitutes acceptance of the revised Terms.
